License Agreement for CyberpunkMP

Organization: Tilted Phoques SRL

Effective Date: November 20, 2024

This License Agreement ("License") governs the use, modification, and distribution of the CyberpunkMP software ("Software"), developed by Tilted Phoques SRL ("Licensor"). By using, modifying, or distributing the Software, you agree to the terms outlined below.

1. Scope of License

1.1 Permitted Use

Tilted Phoques SRL grants you a non-exclusive, non-transferable, royalty-free license to use, modify, and distribute the Software, subject to the conditions in this License.

1.2 Restrictions on Competing Products

  • You may not use the Software, or any part thereof, to develop, market, or distribute a product or service that competes directly with CyberpunkMP or any related offerings by Tilted Phoques SRL.
  • This restriction includes studying, reverse engineering, or analyzing the Software for the purpose of creating, marketing, or distributing a competing product or service.

1.3 Distribution and Modifications

  • Any modifications, enhancements, or derivative works based on the Software must:
    • Be made publicly available under the same terms as this License.
    • Include clear attribution to Tilted Phoques SRL as the original creator of the Software.
  • Modifications must only be distributed through the User's own website or publicly accessible platforms such as https://github.com.
  • Distribution on third-party modding platforms is strictly prohibited.

2. Exceptions

2.1 Plugins

  • Definition of Plugins: A "Plugin" is any software or tool that:
    • Uses the provided SDK or interfaces offered by the Software.
    • Does not alter or modify the source code of the CyberpunkMP Software.
    • DOes not distribute the original CyberpunkMP Software.
  • Exemption for Plugins: Plugins are exempt from the restrictions in Sections 1.2 and 1.3.
  • The components specifically in code/scripting/EmotySystem, code/scripting/JobSystem, and code/assets/redscript/Plugins are released under the MIT License.
  • These components are exempt from the restrictions outlined in Sections 1.2 and 1.3.

3. Reservation of Rights

Tilted Phoques SRL reserves the right to modify, update, or terminate this License at any time. Notification of changes will be provided on https://tiltedphoques.com or through other appropriate communication channels. Continued use of the Software after the effective date of any changes constitutes acceptance of the revised License terms.

4. Acknowledgment of Third-Party Rights

CyberpunkMP is a multiplayer mod for the game Cyberpunk 2077.
All rights to the original game, Cyberpunk 2077, including its assets, trademarks, and other intellectual property, are reserved by CD Projekt RED.
This License does not grant you any rights to CD Projekt RED's intellectual property, nor does it imply any affiliation or endorsement by CD Projekt RED.

5. Disclaimer of Warranty

The Software is provided "as is," without warranty of any kind, express or implied. Tilted Phoques SRL disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Licensor shall not be liable for any damages, whether direct, indirect, incidental, or consequential, arising from the use or inability to use the Software.

6. User-Generated Content (UGC)

6.1 Responsibility for UGC

The Software may enable users to create, share, and distribute user-generated content ("UGC") within CyberpunkMP. Tilted Phoques SRL:

  • Does not review, monitor, or endorse any UGC created or distributed by users.
  • Is not responsible for the legality, appropriateness, accuracy, or quality of any UGC.
  • Disclaims all liability for any claims, damages, or losses arising from UGC.

6.2 User Obligations

Users creating or sharing UGC agree to:

  • Abide by all applicable laws and not infringe on the rights of third parties.
  • Avoid creating or sharing content that is offensive, defamatory, or otherwise inappropriate.

7. Termination

Violation of any term in this License will result in the automatic termination of your rights under this License.
Upon termination, you must:

  • Immediately cease all use, modification, and distribution of the Software.
  • Remove all copies of the Software from your systems and notify Tilted Phoques SRL of the termination.

8. Acceptance of Terms

By using, modifying, or distributing the CyberpunkMP Software, you acknowledge that you have read, understood, and agreed to the terms of this License.
